1. Acceptance of These Terms

These Terms of Service ("Terms") govern access to and use of the IQ Horizon Labs website located at www.iqhorizonlabs.com (the "Site"), operated by IQ Horizon, a company incorporated in Kenya with its registered office at Ngong Road, Nairobi, Kenya and registration number 330/342 ("Company," "we," "us," or "our"). The Site presents the Company's AI operations agency offering and collects project inquiries from prospective clients.

By accessing or using the Site, or by submitting a project inquiry through it, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. Description of Services

IQ Horizon is an AI operations agency that designs and builds AI operating systems, agents, automations, custom dashboards, and AI workflows for small and medium-sized businesses, presented online through the IQ Horizon Labs website. The Site itself functions as an informational and lead-generation platform: it describes these services and allows visitors to submit project inquiries. The Site does not itself deliver AI services, process payments, or create a binding service engagement — see Section 7 below.

3. Eligibility

The Site is intended for business users acting in a professional capacity — for example, founders, operators, or employees inquiring on behalf of a company. You must be at least 18 years old and have the authority to submit inquiries on behalf of the organization you represent, where applicable.

4. Project Inquiry Submissions

To request a proposal or consultation, you may be asked to submit information including your first name, last name, work email address, phone number, company name, company website, role, company size, budget range, and a description of the project you would like built (collectively, "Inquiry Information"). This is a one-time or session-based intake submission, not a persistent user account with a password, unless we notify you otherwise.

You agree that Inquiry Information you submit is accurate and that you have the right to share any third-party or company information included in it. We may contact you using the details provided to follow up on your inquiry. See our Privacy Policy for how this information is used, stored, and protected.

5. Intellectual Property Rights

All content on the Site — including text, graphics, logos, the "IQ Horizon Labs" name and marks, layouts, and underlying code — is owned by or licensed to IQ Horizon and is protected by Kenyan and international intellectual property laws. You may view and use the Site for your own personal or internal business evaluation of our services, but may not copy, reproduce, republish, or create derivative works from Site content without our prior written consent.

Nothing in these Terms transfers ownership of any deliverables, code, or work product from a separate client engagement; ownership of engagement deliverables is governed exclusively by the applicable signed Statement of Work or Master Services Agreement referenced in Section 7.

6. Confidentiality

Any non-public business or technical information you share with us through the Site (including in a project description) will be treated as confidential and used only to evaluate and respond to your inquiry, subject to the data-handling terms in our Privacy Policy. A more detailed mutual confidentiality or non-disclosure clause may be included in a separate signed engagement agreement.

7. Fees, Quotes, and Payment

The Site does not process payments, subscriptions, deposits, or any other transfer of funds. Submitting a project inquiry does not create a binding obligation to pay, and viewing a quote or budget range on the Site is not an invoice.

Any engagement for services is governed by a separate, signed proposal, Statement of Work (SOW), or Master Services Agreement (MSA) between you (or your company) and the Company, which will set out fees, milestones, and payment terms. Payment for engaged services is handled outside the Site — for example, by invoice and bank transfer — as agreed in that separate document.

8. No Guarantee of Results; Disclaimers

The Site and its content are provided "as is" and "as available." While we describe our capabilities and past work in good faith, nothing on the Site constitutes a guarantee of specific business outcomes, timelines, or results from any future engagement. To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Site, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, IQ Horizon and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site, or your submission of a project inquiry, even if advised of the possibility of such damages. Our total aggregate liability arising from your use of the Site shall not exceed KES 0 (zero Kenyan Shillings), except where such limitation is not permitted by applicable law. This limitation does not apply to liability arising under a separately signed engagement agreement, which will state its own liability terms.

10. Indemnification

You agree to indemnify and hold harmless IQ Horizon from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site, your violation of these Terms, or your submission of inaccurate or unlawful Inquiry Information.

11. Third-Party Links and Services

The Site may link to third-party websites or use third-party tools (for example, form-handling, analytics, or scheduling providers) that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party site or service.

12. Availability, Suspension, and Termination

We may modify, suspend, or discontinue the Site, or any part of it, at any time without notice. We may also restrict or terminate your access to the Site if we reasonably believe you have violated these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. The courts of Kenya, seated in Nairobi, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms where the other party is located in Kenya. For any dispute involving a party located outside Kenya, the parties agree to first attempt in good faith to resolve the matter through negotiation; if unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration seated in Nairobi under the Rules of the Nairobi Centre for International Arbitration (NCIA), conducted in the English language, with the arbitral award being final and binding on the parties.

14. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of this document will reflect the date of the latest version. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding use of the Site, and supersede any prior agreements regarding the Site specifically. They do not supersede any separately signed client engagement agreement.
